What happens when a major airline wants to acquire its closest competitor but the competition regulator believes the deal could reduce competition and harm passengers?
In this immersive one-day simulation, students step into the role of junior lawyers at a City law firm, advising their client through a high-stakes M&A transaction.
Students will analyse the relevant competition law, assess evidence from the regulator and competitors, develop a legal strategy, negotiate potential remedies, and ultimately defend their client's position before a simulated Competition and Markets Authority (CMA) panel.
A Practical Companion to the Global Corporate Law Masterclass
The M&A Law Simulation is designed to complement the Global Corporate Law Masterclass. Students do not need to have completed the Global Corporate Law Masterclass to participate, but those who have will be able to put their understanding of legal principles, regulation, and corporate law into practice through a live M&A scenario.
Rather than simply learning what the law says, students must decide how to use the law to achieve a client's objective.
What Students Will Experience
Act as a corporate lawyer: advise Crawford Airways as junior lawyers at a City law firm, with responsibility for developing a strategy to secure regulatory clearance
Apply competition law: understand how merger control works and apply concepts including market definition, market power, unilateral effects, coordinated effects, and the SLC test
Analyse evidence: assess internal company data, customer surveys, and competitor submissions to determine what strengthens or weakens the client's case
Think like a lawyer: learn to distinguish between evidence that is merely interesting and evidence that could materially affect the outcome
Develop a legal strategy: choose how to respond to the CMA's concerns and determine whether the client should adopt an aggressive, cooperative, or defensive approach
Develop a remedies strategy: consider how structural and behavioural remedies could address competition concerns and determine what the client should be willing to offer
Advocate under pressure: present the client's case before a simulated CMA panel and respond to questions from the opposing teams and decision-makers
Think commercially: understand that lawyers are not simply asked to identify legal problems - they are expected to help clients achieve their objectives while managing legal and commercial risk
Defend a position: explain and justify legal recommendations to a client, regulator, or opposing party

Will
Will graduated from the University of Oxford with a double First in Law. He qualified as a solicitor in England and Wales and trained and worked at Latham & Watkins in London and Singapore. He founded lawprof.co, the UK’s largest law notes platform, and MikeOSS, an open source AI legal platform.
Eponine
Eponine holds a First Class LLB from the London School of Economics and an LLM from the University of Cambridge, and was called to the Bar of England and Wales in 2022. She has worked in Competition Law at Cleary Gottlieb and has gained international legal experience with the United Nations and the Extraordinary Chambers in the Courts of Cambodia.

No previous experience in law or M&A is required. Students are given the relevant legal framework, case facts, and evidence before being asked to apply them.
The M&A Law Simulation is complementary to the Global Law Masterclass and the Global Corporate Law Masterclass, with a practical focus on applying legal principles to a live corporate transaction, developing legal strategy, and advocating for a client.
